Terms of Service

1. Acceptance and Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the entity you represent) and Ekfix VMS. These Terms govern your access to and use of our vendor management software, website, and related services (collectively, the "Platform").

2. Intellectual Property Rights

Ownership: Ekfix VMS retains all right, title, and interest in and to the Platform, including all intellectual property rights (patents, copyrights, trademarks, trade secrets). The underlying architecture, source code, UI/UX designs, algorithms, and AI scoring methodologies are the exclusive property of Ekfix VMS.

Limited License: We grant you a limited, non-transferable, non-exclusive, revocable license to use the Platform solely for your internal business operations during your active subscription period.

Restrictions: You shall not: (i) reverse engineer or decompile the Platform; (ii) copy, modify, or create derivative works of any part of the Platform; (iii) remove proprietary notices; or (iv) use the Platform to build a competitive product.

3. Subscription, Credits, and Payments

Model: Access is provided via tiered subscription plans. Certain features (AI Risk Assessment, Identity Verification) require specialized "Credits" which are purchased separately or allocated via your plan.

Payment: Payments are processed via Paystack. All fees are non-refundable. Failure to pay will result in immediate suspension of the Tenant environment.

Pricing: We reserve the right to change our pricing upon 30 days' notice. Exchange rates for credits (USD/NGN) are updated periodically and are final at the time of transaction.

4. User Content and Data

Ownership of Data: You retain ownership of all data and documents you upload to the Platform ("User Content").

License to Us: You grant Ekfix VMS a worldwide, non-exclusive license to use, host, and process your User Content solely for the purpose of provide the services, including anonymized data aggregation for improving our AI risk models.

Accuracy: You are solely responsible for the accuracy and legality of the documents you provide. Fraudulent submissions will result in permanent account termination.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKFIX VMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

6. Limitation of Liability

Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF EKFIX VMS FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL BE LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO EKFIX VMS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Exclusion of Damages: IN NO EVENT SHALL EKFIX VMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to indemnify and hold harmless Ekfix VMS from any claims, losses, or expenses (including legal fees) arising from your misuse of the Platform, violation of these Terms, or infringement of any third-party rights.

8. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately.

9. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute shall be subject to the exclusive jurisdiction of the courts in Abuja or Port Harcourt.

10. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the new Terms.
